The UAE legislator has been keen to regulate the legal rules related to foreign investment due to the increasing importance of foreign investment companies and their growing role in the global economic system. Accordingly, the state has undertaken to create an appropriate legislative environment to attract capital and encourage investments. Although Federal Law No. 19 of 2018 regulating foreign direct investment was repealed as part of a forward looking initiative to enhance and modernize the economic sector, prosperity and growth can only be achieved through a fertile legislative environment that keeps pace with global economic developments. This ensures greater support for companies headquartered in the UAE, enhancing their competitiveness and enabling them to reach international markets. The repeal of the aforementioned law has raised the issue of defining the current legal framework governing foreign investment in the UAE. The study concludes that the legal framework regulating foreign investment companies, as well as the incentives and guarantees they enjoy, is dispersed across multiple pieces of legislation. This fragmentation creates difficulty for foreign investors in fully understanding the laws that grant them the advantages and protections necessary for successful investment, potentially complicating their decision-making process. The study recommends the establishment of a comprehensive, unified law to regulate foreign investment in the United Arab Emirates. Such legislation would enhance investor confidence, eliminate uncertainties surrounding investment decisions, and facilitate the smooth conduct of business and investment activities.

حرص المشرع الإماراتي على تنظيم القواعد القانونية ذات الصلة بالاستثمار الأجنبي؛ نظراً لتزايد أهمية شركات الاستثمار الأجنبي ودورها الفعال والمتزايد في النظام الاقتصادي العالمي، ومن هنا أخذت الدولة على عاتقها خلق بيئة تشريعية مناسبة لاجتذاب رؤوس الأموال وتشجيع الاستثمارات، وبما أن القانون الناظم للاستثمارات الأجنبية رقم 19 لسنة 2018 قد تم إلغاؤه في خطوة استشرافية تبنتها الدولة لتطوير القطاع الاقتصادي ورفده بعوامل التقدم والنمو، إلا أن الازدهار والنمو لا يتأتيان إلا بتوفير بيئة تشريعية خصبة تواكب المتغيرات التي تشهدها الساحة الاقتصادية العالمية لتعزيز الدعم للشركات التي تتخذ من دولة الإمارات العربية المتحدة مقراً لها بغية زيادة قدرتها التنافسية للوصول إلى الأسواق العالمية.

هذا الإلغاء للمرسوم السالف ذكره أثار إشكالية تتمثل ببيان الإطار القانوني للاستثمار الأجنبي في دولة الإمارات العربية المتحدة، وتوصلت الدراسة إلى أن الإطار القانوني الناظم لشركات الاستثمار الأجنبي والحوافز والضمانات التي تتمتع بها جاءت في تشريعات متفرقة، مما يصعب بشكل كبير للمستثمر الأجنبي الإحاطة بكافة التشريعات التي توفر له المزايا والضمانات التي ينشدها لنجاح استثماره، وبالتالي قد يخلق صعوبة في اتخاذ قراره الاستثماري من عدمه.

وأوصت الدراسة إلى أن وجود تشريع متكامل ينظم الاستثمار الأجنبي في دولة الإمارات العربية المتحدة من شأنه تعزيز ثقة المستثمر وإزالة مخاوفه حول اتخاذ قراره في إنشاء مشروعه الاستثماري وتسهيل ممارسة أعماله الاستثمارية.
