The UAE legislator ensured the protection of shareholders’ rights through the general assemblies’ exercise of their supervisory role over the work of the boards of directors in a manner that guarantees the protection of their rights and not derogation from them, and thus establishes an important and effective supervisory role for the company’s general assembly, in light of the absence of public joint stock companies from real accountability for members of their boards of directors and the absence of questions about the conditions The company and its future strategies by the members of its general assembly This gave the annual meetings the character of a routine by agreeing to some decisions or silence, and thus its role became reduced and marginalized, and many of its members became frustrated; Therefore, tomorrow it is necessary to activate the oversight role of the general assemblies to limit the abuses that may be committed by the members of the boards of directors of these companies, which will reflect positively on them. Therefore, this study came to determine the oversight role of the General Assembly in accordance with the Federal Companies Law No. 2 of 2015 as amended by Decree-Law No. 2 of 2020 and to inform its members of their rights and exercise their oversight role effectively, in order to raise awareness and activate their participation and benefit from the guarantees provided by legal texts that ensure They have oversight in order to preserve their money and thus motivate the members of the boards of directors to make their efforts to advance the company and achieve its desired goals.

ملخص كفل المشرع الإماراتي حماية حقوق المساهمين من خلال ممارسة الجمعيات العمومية لدورها الرقابي على أعمال مجالس الإدارة بما يضمن حقوق المساهمين وعدم الإنتقاص منها ، ويؤسس بالتالي لدور رقابي هام وفعال للجمعية العمومية للشركة ، ففي ظل خلو الشركات المساهمة العامة من محاسبة حقيقية لأعضاء مجالس إداراتها وغياب الأسئلة عن أحوال الشركة واستراتيجياتها المستقبلية من قبل أعضاء الجمعية العمومية فيها ، مما أضفى على الإجتماعات السنوية لها طابع الروتين المتمثل بالموافقة على بعض القرارات أو الصمت واصبح بالتالي دورها مختزلا ومهمشا ، وأصاب الكثير من أعضاءها الإحباط ؛ وعليه غدا من الضروري تفعيل الدور الرقابي للجمعيات العمومية للحد من التجاوزات التي قد ترتكب من قبل أعضاء مجالس الإدارة لهذه الشركات بما ينعكس إيجابا عليها. لذلك جاءت هذه الدراسة للوقوف على الدور الرقابي للجمعية العمومية وفقا لقانون الشركات الأتحادي رقم 2 لسنة 2015 والمعدل بموجب المرسوم بقانون رقن 2 لسنة 2020 وتعريف أعضائها بحقوقهم وممارسة دورهم الرقابي بشكل فعال بغية رفع مستوى الوعي وتفعيل مشاركتهم والإستفادة من الضمانات التي تتيحها النصوص القانونية والتي تكفل لهم الرقابة حفاظا على أموالهم وبالتالي تحفيز أعضاء مجالس الإدارة على بذل حهودهم من إجل النهوض بالشركة وتحقيق أهدافها المنشودة .
